1. This agreement
These Terms of Service (the “Terms”) form a binding agreement between you and Bivver Inc., a corporation incorporated in Ontario, Canada(“we”, “us”). They govern your use of the Bivver mobile app, bivver.app, and everything we provide through them (the “Service”).
By creating an account or using the Service, you agree to these Terms and to our Privacy Policy, which is part of this agreement. If you do not agree, do not use the Service.
2. Who can use Bivver
You may use the Service only if you:
- are at least 16 years old;
- are the age of majority in your province or territory, or have the consent of a parent or guardian, before purchasing a subscription;
- are using it for your own personal, non-commercial money management;
- only connect financial accounts that you own or are authorised to access.
The Service is designed for people in Canada and works with Canadian institutions and Canadian dollars. We make no claim that it is appropriate or available elsewhere.
3. What Bivver is — and is not
Read this section even if you read nothing else
Bivver is not a bank or any other financial institution. It holds no deposits, issues no credit, and is not a member of Canada Deposit Insurance Corporation or any comparable scheme. It never takes custody of your money and cannot move, send or withdraw funds.
Bivver is not a registered advisor or dealer under Canadian securities legislation, is not registered with any provincial securities commission, and does not provide advice about securities, insurance, mortgages, tax or legal matters. Nothing in the Service is a recommendation to buy, sell or hold anything.
Every figure is an aid to your own judgement. Safe-to-spend amounts, projections, goal scenarios and suggestions are calculated from the data your financial institution supplies, which may be incomplete, delayed or wrong. Pending transactions settle at different amounts, connections break, and institutions change their data without notice. You remain solely responsible for your financial decisions, including any overdraft, missed payment, interest charge or fee. Before acting on anything significant, verify it with your financial institution and, where appropriate, consult a licensed professional.
The Service includes AI-generated text. That text phrases figures the Service has already calculated; it does not produce figures itself, and we take reasonable steps to prevent unsupported amounts reaching you. AI output can still be wrong or misleading, and should be read as commentary, not as fact about your accounts.
4. Your account
You need an account to use the Service. You agree to give accurate information, keep your sign-in method secure, and tell us promptly at hey@bivver.app if you believe your account has been accessed by someone else. You are responsible for activity under your account, except to the extent it results from our failure.
Do not share your account. One account is for one person.
5. Connecting a financial account
Connecting a financial account is optional and is separate from signing in. We never ask for your banking credentials. The connection is provided by Plaid Inc., and you enter your credentials in Plaid’s own screen, which passes them to your institution.
By connecting an account, you:
- confirm you are the account holder or are authorised to grant access;
- authorise us and Plaid to retrieve balance and transaction information from that institution on a read-only basis, for as long as the connection is active;
- accept that your use of Plaid is also governed by Plaid’s own terms and privacy policy;
- accept that your agreement with your financial institution continues to apply, and that you are responsible for complying with it.
You can disconnect at any time from Profile → Accounts. We are not responsible for the accuracy, completeness or timeliness of data supplied by your institution or by Plaid, nor for a connection that stops working because an institution changes something at its end.
6. Subscriptions, trials and billing
Bivver is offered as an auto-renewing subscription, usually after a free trial. Current prices and trial lengths are shown in the app before you commit, and those are the terms that apply to your purchase.
- Who bills you. Purchases are processed by Apple through the App Store or by Google through Google Play, under their terms. We never see or store your payment card.
- Free trials. If a trial is offered and you are eligible, you will not be charged during it. Unless you cancel before it ends, it converts to a paid subscription at the price shown when you signed up. The renewal date is shown in the app in the days beforehand.
- Renewal. Subscriptions renew automatically for successive periods until cancelled.
- Cancelling. Cancel from Profile in the app, or through your App Store or Google Play subscription settings. Cancellation stops the next renewal; you keep access until the end of the period you have paid for.
- Refunds. Because Apple and Google take the payment, refunds are handled under their policies, not ours. Write to hey@bivver.app if something has gone wrong and we will help where we can.
- Price changes. We may change prices for future periods. We will give you notice before a change affects you, and you can cancel rather than accept it.
Nothing in this section limits any right you have under the Consumer Protection Act, 2002 (Ontario) or other consumer protection legislation that applies to you.
7. Acceptable use
You agree not to:
- connect an account you do not own or are not authorised to access, or impersonate anyone;
- use the Service to break the law, to launder money, or to commit or facilitate fraud;
- scrape, crawl, or extract data from the Service in bulk, or use it to build a competing product;
- reverse engineer, decompile, or attempt to derive our source code or any provider secret, except where the law expressly permits it;
- interfere with the Service’s operation, probe or test its security without our written permission, or circumvent any limit or access control;
- resell, sublicense or otherwise make the Service available to anyone else.
8. Your content and feedback
Your financial data, goals, corrections, messages and memories are yours. You grant us a limited, non-exclusive, worldwide, royalty-free licence to host, process, transmit and display that content strictly to operate the Service for you, and for no other purpose. That licence ends when you delete the content or your account, apart from copies retained as described in the Privacy Policy.
If you send us feedback, ideas or bug reports, we may use them without obligation or compensation to you. Please do not send us anything you consider confidential.
9. Our intellectual property
The Service — its software, design, text, the Bivver name and the companion character — is owned by us and protected by copyright, trademark and other laws. Subject to these Terms, we grant you a personal, non-transferable, non-exclusive, revocable licence to use the app on devices you own or control, for your own personal use. That is the only licence granted; every other right is reserved.
10. Third-party services
The Service depends on third parties, including Plaid, your financial institution, cloud hosting, an AI model provider, notification delivery, and the app stores. They are outside our control. Their terms apply to your use of their part of the experience, and we are not responsible for their acts, omissions, outages or content. A link from the Service is not an endorsement.
11. Availability and changes
We aim to keep the Service running but do not promise it will be uninterrupted or error-free. We may modify, suspend or discontinue any feature at any time. If we discontinue the Service as a whole, we will give you reasonable notice and a way to export your data before it stops.
Some features may be released as beta or preview. Those are provided as-is, may change or disappear, and should be relied on accordingly.
12. Disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the Service will meet your requirements.
In particular, we do not warrant that any figure, projection, category, pattern or suggestion is accurate, complete or suitable for your circumstances, or that data received from your financial institution is correct or current.
Some jurisdictions do not allow the exclusion of certain warranties. If you are a consumer, this section applies only to the extent permitted by the consumer protection law that applies to you, and it does not limit any non-waivable statutory warranty or guarantee.
13. Limitation of liability
To the fullest extent permitted by law, and except where the law does not allow such a limit:
- we are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost savings, lost data, or loss of goodwill, however caused;
- we are not liable for overdraft charges, NSF fees, interest, missed payments, declined transactions, or any other cost arising from a financial decision you made with the Service’s help;
- our total aggregate liability arising out of or relating to the Service is limited to the greater of the amounts you paid us for the Service in the twelve months before the event giving rise to the claim, and CAD $100.
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded — including rights you have as a consumer under the Consumer Protection Act, 2002 (Ontario).
14. Indemnity
You agree to indemnify and hold us harmless from claims, losses and reasonable legal costs arising from your breach of these Terms, your misuse of the Service, or your connection of an account you were not authorised to access. This does not apply to the extent the claim arises from our own breach or negligence, and it does not apply where the law prevents it.
15. Suspension and termination
You can stop using the Service at any time, and can delete your account and all of your data from Profile → Privacy & data.
We may suspend or terminate your access if you materially breach these Terms, if we are required to by law, or if continuing would create a serious security or legal risk. Except where a delay would cause harm or the law prevents it, we will tell you why and give you a chance to put it right. If we terminate without cause, we will refund the unused portion of any prepaid period.
Sections 3, 8 (second paragraph), 9, 12, 13, 14 and 17 survive termination.
16. Changes to these terms
We may update these Terms. The “last updated” date at the top always shows the current version. If a change is material, we will give you reasonable notice in the app or by email before it takes effect. Continuing to use the Service after that means you accept the updated Terms; if you do not, cancel and stop using the Service.
17. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. You and we submit to the exclusive jurisdiction of the courts of Ontario.
If you are a consumer resident in another province or territory, nothing here deprives you of the protection of mandatory laws of your own jurisdiction, including the right to bring proceedings there where that right cannot be waived.
Before starting a formal proceeding, please write to hey@bivver.app. Most problems are faster to fix that way, and we will make a genuine attempt to resolve it.
18. General
- Entire agreement. These Terms and the Privacy Policy are the whole agreement between us about the Service.
- Severability. If a provision is unenforceable, it is limited or severed to the minimum extent necessary and the rest stays in force.
- No waiver. Not enforcing a provision once does not waive it.
- Assignment. You may not assign these Terms. We may assign them to a successor of the business, on notice to you.
- Force majeure. Neither of us is liable for a failure caused by something genuinely beyond our reasonable control.
- Language. These Terms are drawn up in English. Les parties ont exigé que la présente convention soit rédigée en anglais.
